These Terms of Service ("Terms") govern the services provided by VV Industrial Automation ("VV", "we", "us"), a proprietorship registered in Suryapet, Telangana, India (GSTIN 36AWNPP4417H2Z7). By engaging our services you agree to these Terms.
VV provides industrial automation, software development, and systems-integration services, including the design and operation of official platform integrations such as the WhatsApp Business Platform (Cloud API). The specific scope, deliverables, and fees for each engagement are agreed separately with each client.
Services may not be used for unlawful, deceptive, infringing, or abusive purposes, for unsolicited messaging (spam), or in any way that violates the policies of an underlying platform provider. We may suspend or terminate services that breach these Terms or applicable platform policies.
Where we operate an integration with a third-party platform on a client's behalf, that platform's own terms and policies also apply. We act as a technology provider and comply with the applicable Meta Platform Terms, WhatsApp Business Terms, WhatsApp Business Messaging Policy, and Meta's Developer Policies. We access and process platform data only to operate the client's configured integration, as described in our Privacy Policy.
Each party will comply with applicable data-protection law, including India's Digital Personal Data Protection Act, 2023. Where VV processes personal data on a client's behalf, it does so as a data processor acting on the client's documented instructions, and the client remains the controller (Data Fiduciary). Our handling of personal data is described in our Privacy Policy. A separate data-processing agreement may be entered into where required.
Unless otherwise agreed in writing, VV retains ownership of its pre-existing tools, frameworks, and know-how. Deliverables created specifically for a client are licensed or assigned as set out in the relevant engagement agreement.
Services are provided with reasonable skill and care. To the maximum extent permitted by law, VV is not liable for indirect or consequential losses, and our total liability for any engagement is limited to the fees paid for that engagement. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
Either party may terminate an engagement as set out in the relevant agreement. On termination, we will return or delete client data in accordance with our Privacy Policy and our record-keeping obligations.
We may update these Terms from time to time. The latest version will always be available at this URL with a revised "last updated" date. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of India, and disputes are subject to the courts of Telangana.
